Welcome to darktidesresearch.com (the “Site”), operated by Darktides Research LLC, a Nevada limited liability company (“we,” “us,” or “our”). By accessing or using this Site, placing an order, or otherwise engaging with our services, you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, please do not use the Site.
1. Eligibility
You must be at least 21 years of age to use this Site or purchase products from Darktides Research LLC. By accessing the Site or placing an order, you represent and warrant that you are at least 21 years old and are legally capable of entering into a binding agreement under applicable law. We reserve the right to request proof of age at any time and to cancel orders where age eligibility cannot be confirmed.
2. Products and Intended Use
All products sold by Darktides Research LLC are strictly intended for in-vitro research and laboratory use only. They are not intended for human consumption, veterinary use, medical use, clinical testing, cosmetic application, or any form of personal supplementation.
By purchasing from this Site, you acknowledge and agree that:
- You will use all products solely for legitimate, lawful research purposes in a controlled laboratory environment.
- You will not administer any product to humans or animals under any circumstances.
- You will not resell, redistribute, or transfer products to any third party for non-research purposes.
- You assume full responsibility for the lawful handling, storage, and use of all products purchased.
- You will comply with all applicable local, state, and federal laws and regulations governing the purchase and use of research chemicals.
Darktides Research LLC reserves the right to refuse or cancel any order if we reasonably believe products may be misused, resold improperly, or purchased in violation of these Terms.
3. No Medical Claims
Darktides Research LLC makes no claims regarding the therapeutic, medicinal, or diagnostic properties of any product. Nothing on this Site should be interpreted as medical advice, a treatment recommendation, or an endorsement of any health outcome. Our products have not been evaluated or approved by the U.S. Food and Drug Administration (FDA) or any other regulatory body. We do not provide usage instructions, dosing guidance, or application advice of any kind.
4. Ordering and Payment
By placing an order, you agree that your submission constitutes a binding offer to purchase the selected products at the listed price. We currently accept Venmo and cryptocurrency as payment methods. We reserve the right to modify accepted payment methods at any time without prior notice.
Please note the following regarding payments:
- Cryptocurrency payments are irreversible by nature. Once a cryptocurrency transaction is confirmed on the blockchain, it cannot be reversed or refunded to the original wallet. Any approved remedy will be issued as a replacement product or store credit only.
- Venmo payments are processed through Venmo’s platform and are subject to Venmo’s terms of service.
All orders are subject to acceptance and availability. We reserve the right to refuse or cancel any order for any reason, including but not limited to suspected fraud, pricing errors, or product unavailability. Prices are listed in U.S. dollars and are subject to change without notice. Any applicable taxes or shipping fees will be calculated and displayed at checkout.
5. Shipping and Delivery
Orders are typically processed and shipped within 1–2 business days. Delivery times after shipment depend on your location and the shipping method selected. Tracking information will be provided once your order has shipped. Darktides Research LLC currently ships within the United States only.
Risk of loss and title for products pass to you upon delivery to the carrier. We are not responsible for delays, damage, or loss caused by the shipping carrier after the package has been transferred. In the event of carrier-related issues, it is your responsibility to file a claim directly with the carrier.
6. Address Accuracy
Customers are solely responsible for providing a complete and accurate shipping address at checkout. We are not responsible for orders shipped to an incorrect or incomplete address provided by the customer. If an order is returned to us due to an incorrect address, failure to collect the package, or refusal of delivery, the customer is responsible for all reshipping fees. Original shipping charges are non-refundable. Address changes cannot be guaranteed after an order is submitted.
7. Returns, Refunds, and Cancellations
Due to the nature of our products and the importance of maintaining product integrity, returns and refunds are handled on a case-by-case basis. If you receive a damaged, defective, or incorrect item, please contact us within 48 hours of delivery at hello@darktidesresearch.com with photos and a description of the issue.
We do not offer refunds for:
- Buyer’s remorse or change of mind
- Incorrect product selection by the customer
- Carrier delays or packages marked as delivered by the carrier
- Cryptocurrency transactions (irreversible by nature)
If a claim is approved, remedies are issued at our sole discretion as a replacement product or store credit. Refunds to the original payment method are not guaranteed. Chargebacks filed without first contacting our support team may be considered fraudulent and will be disputed with supporting documentation including delivery confirmation and policy acknowledgment records.
8. Intellectual Property
All content on this Site, including but not limited to text, graphics, logos, images, product descriptions, and software, is the property of Darktides Research LLC and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, publicly display, or create derivative works from any content on this Site without our prior written consent. Unauthorized use of any content may violate copyright, trademark, and other applicable laws.
9. Third-Party Links
This Site may contain links to third-party websites, including social media platforms and payment processors. These links are provided for convenience only. Darktides Research LLC has no control over the content, privacy practices, or policies of third-party sites and accepts no responsibility or liability for them. Accessing any third-party site from a link on our Site is entirely at your own risk.
10. Disclaimer of Warranties
All products and services are provided “as is” and “as available” without warranties of any kind, either express or implied. Darktides Research LLC expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. No information obtained from this Site shall create any warranty not expressly stated in these Terms.
11. Limitation of Liability
To the fullest extent permitted by applicable law, Darktides Research LLC and its members, managers, officers, employees, agents, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Site, your purchase of products, or these Terms, even if advised of the possibility of such damages.
Our total cumulative liability for any claim arising from or related to these Terms shall not exceed the amount you paid for the specific product giving rise to the claim. Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless Darktides Research LLC and its members, managers, officers, employees, agents, and successors from and against any and all claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Site; (b) your purchase or use of any products; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your infringement of any third-party rights.
13. Assumption of Risk
By purchasing research chemicals from Darktides Research LLC, you acknowledge that you understand the inherent nature and risks of research compounds and accept all risks associated with their handling, storage, and use. You agree that Darktides Research LLC is not responsible for any harm, injury, loss, or damage resulting from the misuse, mishandling, improper storage, or unauthorized use of any product.
14. Dispute Resolution and Class Action Waiver
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Site or products, you agree to first contact us at hello@darktidesresearch.com and attempt to resolve the dispute informally. If a resolution cannot be reached within 30 days, either party may pursue formal legal action.
Class Action Waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis only. You waive any right to bring or participate in any class action, collective action, or representative proceeding against Darktides Research LLC. This waiver applies regardless of the forum in which the dispute is resolved.
15. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Site that cannot be resolved informally shall be subject to the exclusive jurisdiction of the state and federal courts located in Washoe County, Nevada, and you hereby consent to personal jurisdiction in such courts.
16. Force Majeure
Darktides Research LLC shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, supply chain disruptions, carrier failures, civil unrest, cyberattacks, or any other event beyond our reasonable control. In such circumstances, our obligations will be suspended for the duration of the force majeure event.
17. Account Suspension and Termination
We reserve the right to suspend or terminate your access to the Site and refuse future orders at our sole discretion, with or without notice, for any reason including but not limited to suspected misuse of products, fraudulent activity, chargebacks, or violation of these Terms. Termination of your access does not relieve you of any obligations or liabilities incurred prior to termination.
18. Waiver
No failure or delay by Darktides Research LLC in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. All waivers must be in writing and signed by an authorized representative of Darktides Research LLC to be effective.
19. Severability
If any provision of these Terms is found to be unenforceable, invalid, or illegal by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall remain in full force and effect and shall not be affected, impaired, or invalidated.
20. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other policies or notices posted on the Site, constitute the entire agreement between you and Darktides Research LLC with respect to your use of the Site and purchase of products, and supersede all prior and contemporaneous agreements, understandings, representations, and warranties, whether written or oral, relating to the same subject matter.
